Terms and Conditions for QLM Rewards Platform

These Terms and Conditions (“Terms”) govern your use of the QLM Rewards platform provided by QLM Business Solutions Limited (“we,” “our,” or “us”), a company registered in the United Kingdom. By using our platform, you (“Client” or “Business Owner”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use the QLM Rewards platform.


1. Platform Usage

1.1. QLM Rewards is a cloud-based software solution designed to create and manage loyalty rewards programs and gift card systems for small and medium-sized businesses.
1.2. By subscribing to or using QLM Rewards, you agree to use the platform only for lawful purposes and in accordance with these Terms.
1.3. You are responsible for ensuring the accuracy of information you input into the platform, including reward details, customer data, and any other relevant settings.

2. Service Availability and Outages

2.1. QLM Rewards is hosted on third-party servers. While we strive to provide uninterrupted service, we cannot guarantee that the platform will be free from downtime or interruptions.
2.2. You acknowledge and agree that QLM Business Solutions Limited is not liable for any temporary or prolonged outages, disruptions, or unavailability of the QLM Rewards platform, regardless of the cause.
2.3. In the event of an outage, we will make every reasonable effort to restore service as quickly as possible. However, we do not guarantee a specific recovery time.
2.4. The Client agrees not to hold QLM Business Solutions Limited, its directors, officers, employees, or affiliates liable for any losses, damages, or inconvenience arising from system outages or interruptions, including but not limited to loss of sales, loss of customer goodwill, or any other business disruptions.

3. Points and Rewards Disputes

3.1. QLM Rewards facilitates the creation and tracking of loyalty points and rewards, but we do not mediate or manage disputes between you and your customers regarding points, rewards, or the terms of your loyalty programs.
3.2. The Client agrees that QLM Business Solutions Limited is not responsible or liable for any disputes, disagreements, or claims arising between the Client and its customers related to loyalty points, rewards, or any related matters.
3.3. It is the Client’s sole responsibility to resolve any disputes with their customers and ensure their loyalty program terms and conditions are clearly communicated to and understood by their customers.

4. Data and Privacy

4.1. We are committed to protecting your privacy and that of your customers. Any data collected through the QLM Rewards platform will be handled in accordance with our Privacy Policy.
4.2. You are responsible for complying with all applicable data protection laws in your jurisdiction and ensuring your customers are informed about how their data will be used and stored when they participate in your loyalty program.

5. Intellectual Property

5.1. The QLM Rewards platform, including all software, design elements, and intellectual property, remains the sole property of QLM Business Solutions Limited.
5.2. You are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms. You agree not to copy, distribute, modify, or reverse engineer any part of the QLM Rewards platform.

6. Payment and Fees

6.1. Fees for the use of QLM Rewards are payable in advance and are non-refundable, except as provided under our 30-day money-back guarantee.
6.2. We reserve the right to modify our fees or introduce new charges upon reasonable notice.

7. Limitation of Liability

7.1. To the maximum extent permitted by law, QLM Business Solutions Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the platform.
  • Any unauthorized access to or use of our servers or any personal or financial information stored on our platform.
  • Any downtime or system outages of the QLM Rewards platform.

7.2. Our total liability to you for any claims arising out of or relating to the use of the QLM Rewards platform shall not exceed the amount paid by you to us in the six (6) months preceding the claim.

8. Indemnification

8.1. You agree to indemnify and hold harmless QLM Business Solutions Limited, its affiliates, officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the QLM Rewards platform.
  • Any breach of these Terms by you or your customers.
  • Any disputes between you and your customers relating to your loyalty or rewards program.

9. Termination

9.1. We may suspend or terminate your access to the QLM Rewards platform if you violate these Terms or engage in any conduct that we determine, in our sole discretion, to be harmful to us or our users.
9.2. Upon termination, you must cease all use of the platform, and any outstanding fees will become immediately due and payable.

10. Governing Law

10.1. These Terms shall be governed and construed in accordance with the laws of the United Kingdom.
10.2. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

11. Changes to Terms

11.1. We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or through the platform. Your continued use of the platform after such notification constitutes your acceptance of the modified Terms.
